Terms of Service
Effective June 26, 2026
Overview
These Terms of Service (the “Terms”) govern your access to and use of Nudge — the Nudge mobile apps, the Nudge web app, and any signing pages we host on your behalf (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.
If you’re accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” refers to both you individually and that organization.
Accounts and workspaces
To use Nudge you create an account with a valid email address and password. The first account in an organization creates a “workspace” and becomes its owner. Owners can invite additional team members (managers and reps), each with their own account but shared access to the workspace.
You’re responsible for everything that happens under your account, including keeping your password secret and notifying us promptly at support@nudgequote.app if you suspect unauthorized access.
You must be at least 18 years old to create an account. Nudge is a business tool and is not directed to minors.
Your content
You retain all rights to the data you create in Nudge: your customer records, products, quotes, signatures, organization branding, and anything else you input or upload (“Your Content”). Nudge does not claim ownership of Your Content.
You grant Nudge a limited, non-exclusive license to host, copy, transmit, and display Your Content solely as needed to provide the Service to you and your customers (for example, displaying a quote on a signing page, generating a PDF, or sending an email on your behalf).
You’re responsible for the accuracy and legality of Your Content, including making sure you have the right to share customer information with Nudge and to send your customers email from the Service.
Acceptable use
You agree not to use the Service to:
- Send spam, phishing messages, or any unsolicited bulk email
- Violate any law or third-party right, including intellectual property and privacy rights
- Upload viruses, malware, or other harmful code
- Attempt to gain unauthorized access to Nudge or other users’ accounts
- Resell, sublicense, or otherwise make the Service available to third parties as a standalone product
- Use the Service to compete with Nudge (e.g., to build a competing product)
- Misrepresent your identity or impersonate another person or organization
We may suspend or terminate accounts that violate these rules (see “Termination” below).
Payments and subscriptions
Nudge offers paid subscriptions billed monthly or annually through Stripe. Subscription pricing is shown on the pricing page and may include per-seat pricing for team plans. Card details are entered directly with Stripe; Nudge never sees or stores them.
Free trial.New workspaces may include a free trial period. We’ll tell you when the trial starts and ends. Your card is not charged until the trial converts to a paid subscription, and you can cancel any time before the trial ends to avoid being charged.
Renewal. Subscriptions renew automatically at the end of each billing period at the then-current price. You can cancel renewal at any time from Settings → Subscription; cancellation takes effect at the end of the current paid period and your workspace stays active until then.
Per-seat pricing. Team plans are billed per active seat. Adding a seat mid-period prorates the addition; removing a seat takes effect at the next renewal.
Taxes. Prices shown are exclusive of taxes. Where required by law, applicable taxes will be added at checkout.
Refunds. Subscription fees are non-refundable except where required by law or where Nudge agrees in writing to a refund. We consider refund requests on a case-by-case basis; email support@nudgequote.appwith the details and we’ll respond.
Customer payments through Nudge
Separately from the subscription described above, Nudge offers an optional feature that lets your customers pay you online for signed quotes. This section governs that feature.
Role of Nudge.Nudge provides a payment facilitation feature. Payments are processed by Stripe, Inc. Nudge is not a bank, money transmitter, or payment processor. Nudge never holds, touches, or has access to your customers’ funds or card details.
Merchant of record. When you enable customer payments, you are the merchant of record for every transaction. You are solely responsible for delivering the goods or services described in the quote, customer support relating to the work, refunds, chargebacks and disputes, sales tax collection and remittance, and compliance with all laws applicable to your business.
Stripe Connected Account.To accept customer payments, you must create a Stripe Express Connected Account through Nudge and accept Stripe’s Connected Account Agreement. Your relationship with Stripe is governed by that agreement directly. Stripe may suspend, restrict, or terminate your Connected Account based on its own policies, independent of your Nudge account.
Fees.Stripe charges its standard processing fees, which are deducted from each payment before payout. As of the Effective date of these Terms, those fees are 2.9% plus $0.30 per successful card transaction in the United States. Stripe’s fees may change; the current rate is shown on Stripe’s pricing page. Nudge does not currently charge a per-transaction fee on top of Stripe’s fees. If Nudge introduces a platform fee in the future, we will give you at least 30 days’ notice and you may disable customer payments at any time before the change takes effect.
Payouts. Stripe sends payouts to the bank account you connect during onboarding. Payout timing and schedule are controlled by Stripe and visible in your Stripe Express dashboard. Nudge does not control payout timing.
Refunds and disputes.You initiate refunds through your Stripe Express dashboard. You are responsible for responding to chargebacks and disputes within Stripe’s required timeframes. Nudge may, but is not required to, surface dispute notifications inside the Nudge app.
Taxes and reporting. You are responsible for determining, collecting, reporting, and remitting all taxes related to payments you receive. Stripe issues IRS Form 1099-K where required by law. Nudge does not provide tax advice and does not issue tax forms for customer payments processed through Stripe.
Prohibited use.You may not use the customer payments feature for any business or transaction prohibited by Stripe’s Restricted Businesses list or by applicable law. If Stripe restricts or terminates your Connected Account, the customer payments feature in Nudge will be disabled.
No guarantee of availability. Nudge may suspend or remove the customer payments feature at any time, in whole or in part, with reasonable notice where practicable. We will not be liable for losses arising from such suspension beyond fees you paid Nudge for the affected period.
Signed records
When a customer signs a quote through Nudge, we capture the signature image and audit metadata (timestamp, IP address, user-agent, the version of any terms accepted) to make the signature a legally valid electronic record. Nudge stores and preserves these records on your behalf for as long as your workspace exists, and retains them after workspace deletion solely as legal evidence to the parties who signed them.
Nudge is not a party to the agreements between you and your customers. The legal effect of a signed quote — what it obligates either party to do — is between you and your customer.
Termination
By you. You can stop using the Service and delete your account or workspace at any time from Profile → Danger zone. If you’re on a paid plan, cancellation takes effect at the end of the current paid period; you won’t be charged for the next renewal. We do not refund the unused portion of the current period except on a case-by-case basis.
By Nudge for cause.We can suspend or terminate your account immediately, without notice, if you breach these Terms — including nonpayment, abuse of the Service, or violation of the “Acceptable use” section. We may also terminate immediately to comply with law or to address an ongoing security risk.
By Nudge for convenience.We may terminate your account for any other reason with at least 30 days’ written notice (sent to the email on file). If we terminate for convenience, we will refund any prepaid fees covering the period after termination.
Effect of termination: your access to the Service ends. Your content is removed from user-facing views within Nudge per our Privacy Policy; signed records are retained as described above.
Changes to the Service
Nudge is actively developed. We may add, change, or remove features over time. We’ll give reasonable notice of material changes that adversely affect paying customers and, where appropriate, an opportunity to cancel without penalty.
Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the app or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
Disclaimer of warranties
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Nudge does not warrant that the Service will be uninterrupted, error-free, or secure against every possible threat.
Limitation of liability
To the maximum extent permitted by law, Nudge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Service.
Nudge’s total cumulative liability for any claim arising from these Terms or the Service is limited to the amount you paid Nudge in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars ($100), whichever is greater.
Indemnification
You agree to indemnify and hold Nudge harmless from any claim brought by a third party arising out of Your Content, your violation of these Terms, or your violation of any law or third-party right.
Governing law
These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you and Nudge consent to personal jurisdiction in those courts.
Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Nudge regarding the Service. If any provision is unenforceable, the remaining provisions stay in effect. Nudge’s failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; Nudge may assign these Terms in connection with a merger, acquisition, or sale of assets.
